By accessing, browsing, registering an account, or purchasing any products from Nutriyork, you agree to be bound by these Terms, as well as our Privacy Policy, Refund & Returns Policy, Shipping Policy, and Cancellation Policy. If you do not agree with any part of these Terms, you must discontinue using our Platform immediately.

3. Product Specifications, Formulations & Accuracy

• Product Descriptions: We make every effort to display the details, ingredient compositions, and visual presentation of our bioactive formulations as accurately as possible. However, actual packaging material, bottle shapes, and color tones may vary slightly due to device display settings or manufacturing batch updates.

4. Pricing, Payments & Orders

• Pricing Currency: All prices displayed on the Platform are listed in Indian Rupees (INR) and are inclusive of applicable GST unless explicitly stated otherwise.
  
  
• Price Modifications: Prices for our products are subject to change without prior notice. Price changes will not affect orders that have already been accepted and confirmed with a valid Order ID.
  
  
• Payment Processing: We accept payments through secure third-party payment gateways (including Credit/Debit Cards, Net Banking, UPI, and Digital Wallets) as well as Cash on Delivery (COD) for eligible pin codes. By submitting payment details, you confirm that you are authorized to use the chosen payment instrument.
  
  
• Order Acceptance: Receiving an order confirmation email or SMS does not signify our final acceptance of your order. An order is deemed accepted only when it is packed and dispatched from our warehouse, at which point a tracking ID is generated.

5. Intellectual Property Rights

• Ownership: All content, assets, and materials on the Nutriyork Platform—including but not limited to brand names, logos, registered trademarks, product names (such as CLEAR BUDDY, REDD+, BALANCE+, COQ, SMART MOVE), custom graphics, visual icons, custom website layouts, text, images, and software code—are the exclusive intellectual property of Nutriyork.
  
  
• Restrictions: You are granted a limited, non-exclusive, non-transferable license to access the Platform for personal, non-commercial shopping purposes only. You may not reproduce, duplicate, copy, sell, modify, distribute, scrape, or exploit any portion of our Platform or content without our express written consent.

6. User Reviews, Feedback & Submissions

• User Content: If you submit product reviews, comments, feedback, or suggestions on our Platform or social media channels, you grant Nutriyork a perpetual, royalty-free, worldwide, and transferable license to use, reproduce, edit, publish, and display such content across our marketing channels.
  
  
• Content Rules: You agree that your submissions will not violate any third-party rights, contain defamatory or unlawful material, or distribute malware/software viruses. We reserve the right to monitor, edit, or remove any user submissions that violate these guidelines.

7. Limitation of Liability & Indemnification

• Platform Availability: The Platform and all products offered are provided on an “as is” and “as available” basis without warranties of any kind, either express or implied, except as provided under applicable law.
  
  
• Liability Cap: To the maximum extent permitted by applicable law, Nutriyork, its directors, officers, employees, and logistics partners shall not be liable for any indirect, incidental, punitive, or consequential damages arising from the use of our Platform, delays in shipping, or improper consumption of our products. In no event shall our total liability exceed the purchase amount paid by you for the specific order in question.
  
  
• Indemnification: You agree to indemnify, defend, and hold harmless Nutriyork and its affiliates from any claims, liabilities, damages, losses, or legal expenses resulting from your violation of these Terms or misuse of the Platform.

• Jurisdiction: These Terms shall be governed by, construed, and enforced in accordance with the statutory laws of India.
  
  
• Dispute Resolution: Any legal disputes, claims, or controversies arising out of or relating to your use of the Platform or purchase of Nutriyork products shall be subject to the exclusive jurisdiction of the competent courts located in your designated business jurisdiction.
